AGREEMENT

WHEREAS Sanoha is owner, running and managing a web/social portal under the name and style of ‘ViaVeda’ having its own app, website, YouTube channel, social media accounts offering various services, including but not limited to services such as astrology, numerology, face reading, palmistry consultancy services and also Pujas, Mandir Visits, Sacred Ceremonies, Mandir Darshans, Podcasts, etc. under the brand name of ‘ViaVeda’ and is offering a platform for various consultants, including Astrologers for getting themselves listed themselves as Practicing Astrologer with their profiles and to be made themselves available to the other users and visitors to the website and app of ‘ViaVeda’.

WHEREAS the Astrologer has represented itself as well versed with the Astrology and has qualification or practice in ‘Vedic Astrology’ and is engaged in the consultation services from ‘Vedic Astrology’ based on old Indian/Vedic/Hindu texts. The Astrologer is also willing to engaged with the users and visitors of ‘ViaVeda’ and provide them with astrology and other consultancy services in most upright and professional manner. The brief profile of the Astrologer as submitted to Sanoha by the Astrologer has been annexed herewith as Annexure-A, forming an integral part of the present agreement.

WHEREAS the Astrologer has also made several representations and assurances to Sanoha, inter-alia:

AND WHEREAS believing those representations, assurances, and undertakings made by the Astrologer, Sanoha has agreed to list the Astrologer as a ‘Consultant-Astrologer’ on its ‘ViaVeda’ Platform on the terms and conditions recorded here it.

Astrologer are an "Astrologer" if Astrologer has qualification or practice in ‘Vedic Astrology’ and is engaged in the consultation services from ‘Vedic Astrology’ based on old Indian / Vedic / Hindu texts and is selected /appointed / registered as an Astrologer with the explicit purpose of providing Astrologer’s consultation to the visitors/users of the ‘Viaveda’ portal and/or website and/or app and/or social account and/or on partner Sites.

For the purpose of this Agreement, the Astrologer is the person who is the signatory to the present agreement and who as identified himself with details as above and who has agreed to be bound by the terms of the present agreement and offered his/her consultation services to the users, visitors, members and clients of ‘Viaveda’. Therefore the signatory of the present agreement with Sanoha is being referred as ‘Astrologer’ herein.

Astrologer’s registration/application form is subject to approval of ‘Viaveda’. Once the same is accepted, Astrologer’s profile will be activated by ‘Viaveda’. Rejection of a profile may occur due to incomplete forms/information, or due to lack of experience or incompetency, or any other reason that may not have been specifically mentioned here. If any information is found incorrect, or misleading at any time/duration, Astrologer’s profile, at the sole discretion of Sanoha, shall be subject to rejection without any notice period and ‘Viaveda’ may take legal action for such misleading facts.

A member or user or customer or client or visitor is one who has registered themselves or applied or visiting the ‘Viaveda’ portal across the social media for availing services on the ‘Viaveda’ platform for advice or services from an Astrologer.

A user may or may not be a paid member or registered user and he can be visitor availing free consultations. Users can register to avail of free consultation.

This Agreement applies to Astrological online consultation services provided by SANOHA through its ‘Viaveda’ portal on the Website or through an App or through other social accounts platforms. The Services may change from time to time, at the sole discretion of SANOHA, and the Agreement at the time will apply to Astrologer for availing the Services. SANOHA reserves the right to modify or terminate any portion of the Agreement for any reason and at any time.

Astrologer should read the Agreement at regular intervals. Astrologer’s continued use of the Services following any such modification constitutes Astrologer’s agreement to follow and be bound by the Agreement so modified. By using any portion of the website or app Astrologer agree to be bound by this Agreement. Astrologer should read this Agreement carefully. If Astrologer do not agree with any part of the Agreement, Astrologer is advised not to use the Website or avail any Services of ‘Viaveda’.

‘Viaveda’ Website or portal or platform means all websites/apps owned by Sanoha Global Private Limited which are being run under the trademark and brand name of ‘ViaVeda’. VIVA VEDA provides various astrology, numerology, face reading, palmistry consultancy services and also Pujas, Mandir Visits, Sacred Ceremonies, Mandir Darshans, Podcasts, etc.. ‘Viaveda’ com also provides a platform wherein Astrologers and Users meet for Astrology services. ‘www.Viaveda.in’ is one of such platform.

Sanoha through its ‘Viaveda’ portal provides its users, visitors and other members services to seek online astrological consultations / opinion / advisory by communicating with its registered Astrologers on its ‘Viaveda’ Website/ platform or through an App or through other social accounts platforms (“Services”).

The Listing of the Astrologer on ‘Viaveda’ platform shall be subject to the ANNEXURE-2 which list and terms the use of ‘Viaveda’ portal and other facilities of ‘Viaveda’ and listing of Astrologer on the portal of ‘Viaveda’. Astrologer undertakes that it has read, understood, and shall always be bound by the same.

The Astrologer is assigned by SANOHA based on multiple parameters such as date and time of consultation request placed by the user, etc. via the system’s algorithm/software-program that identifies the most relevant Astrologer, or the Users may also choose the Astrologer through search options made available on the Website/platform.

The Astrologer agrees to make user/visitor/member/ of ‘Viaveda’ understand that the Astrology is science of probabilities and the advice/consultations are not fool proof and it ought to be used as only advisory and the final outcome depends on numbers of other factors, some of them might be not visible or known, hence, in no event shall the advisory/consultation provided by Astrologers be represented /relied upon as a final and conclusive solution. The Astrologer while providing services shall be duty bound to the guidelines as are contained in ANNEXURE-3.

Astrologer understand that the services provided by Astrologer are exclusive to this Platform. Subject to the terms and conditions of this Agreement, Astrologer grant an exclusive right and license for Astrologer’s services to be used on the Platform.

Astrologer agree to disclose to ‘Viaveda’ if any benefits will accrue to Astrologer either directly or indirectly from any third party in the course of providing the Services under this Agreement. If, at any time during the term of this Agreement, Astrologer are found to be providing any similar service on any other platform which is in direct competition or which is having interests conflicting interests, ‘Viaveda’ at its sole discretion, may reduce Astrologer’s agreed rate/fees or may terminate Astrologer’s services from the platform.

‘Viaveda’ Portal reserves the right in its sole discretion to review the activity & status of each listing & block the listing/account of an Astrologer from ‘Viaveda’ for the provision of service. If Astrologer violate any provision of this agreement, ‘Viaveda’ reserves the right to disable the services of the astrologer without prior notice.

Astrologer will not share access to this platform with anyone else. Astrologer will not share the user ID/password or any other credential with any other person.

Astrologer acknowledge that ‘Viaveda’ merely provides a platform wherein Astrologer can meet the Users, i.e. customers/Members, and therefore agree that the Site/portal is being provided for use as is, and therefore, the Astrologer will not have any plea, claim, or demand vis. a vis. Further, the use of and/or the Sites by the Astrologer is voluntary and completely at Astrologer’s sole and entire risk, without any warranty of usability, assured profits or revenues, fitness for a particular purpose, non-infringement, compatibility, etc.

Sanoha will be at liberty to dispense with Astrologer’s services at any time without notice or payment of any compensation and without assigning any reasons whatsoever.

Astrologer understand that ‘Viaveda’ promotes the Astrologer's profiles through various digital and social media platforms and it shall have all the right to use the Astrologer's profile picture, video, content, ratings, reviews, and description for promotional and advertising purposes. Additionally, any pictures and videos of the astrologer provided by the astrologer or captured by ‘Viaveda’ either directly or during live sessions, may also be used for promoting and advertising ‘Viaveda’ services & Products.

The astrologer hereby undertakes not to upload, publish, email, send, or in any way disseminate any content on or through ‘Viaveda’ that is illegal, detrimental, menacing, abusive, harassing, tortious, slanderous, indecent, obscene, defamatory, invasive of someone else's privacy, hateful, or that exhibits racial, ethnic, or any other form of objectionable characteristics.

Astrologer will exercise a duty of care towards all members and clients of ‘Viaveda’, ensuring that all interactions and consultations are conducted with the highest level of professionalism and confidentiality.

‘Viaveda’ is not responsible for any incorrect content posted on the Website or in connection with the Service, whether caused by users of the Website, Astrologer/s, or by any of the equipment or programming associated with or utilized in the Service.

‘Viaveda’ assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of communications.

‘Viaveda’ is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Website or combination thereof, including injury or damage to users and/or Astrologer or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service.

Under no circumstances will ‘Viaveda’ or any of its affiliates, advertisers, promoters, or distribution partners be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Website or the Service, any Content posted on the Website or transmitted to Astrologer, or any interactions between users of the Website, whether online or offline.

The Website and the Service as are provided ‘Viaveda’ are provided "AS-IS" and ‘Viaveda’ portal expressly disclaims any warranty of fitness for a particular purpose or non-infringement. ‘Viaveda’ Portal cannot guarantee and does not promise any specific results from the use of the Website and/or the Service.

Astrologer shall make users understand that any information may be posted on ‘Viaveda’ Portal for informational purposes only and is not intended to replace or substitute for any professional financial, medical, legal, or other advice.

‘Viaveda’ Portal makes no representations or warranties and expressly disclaims any liability concerning any treatment, action by, or effect on any person following the information offered or provided within or through the Website.

Sanoha hereby appoints the Astrologer and hires the professional services of the Astrologer full-time as its ‘Project Management Astrologer’ for all railway projects of Sanoha and the Astrologer shall devote their full time, whole attention, and expert skills.

The Astrologer shall be handling the assignments as and when delegated and deputed to it by Sanoha.

The brief description of the Basic Services as shall be provided by the Astrologer has been briefly described in SCHEDULE-I. It is well understood that the scope of services as has been described in SCHEDULE-I is only an indicative list and not exhaustive and at the sole discretion of Sanoha same may be modified, altered, and/or increased, whatsoever and the same shall be binding upon the Astrologer.

The Key Responsibility Areas (KRA) of the Astrologer have been described in SCHEDULE-II. It is well understood that the Key Responsibility Areas (KRA) as has been described in SCHEDULE-II is only an indicative list and not exhaustive and at the sole discretion of Sanoha same may be modified, altered, and/or increased, whatsoever and the same shall be binding upon the Astrologer.

The Astrologer shall provide project management services to monitor procurement procedures, design, construction, and other related activities and to facilitate, coordinate and manage the Project for timely performance under the Project Schedule and monitor the quality of services and workmanship and shall recommend courses of action to Sanoha when respective contractual requirements are not being fulfilled.

Services shall continue through substantial use and occupancy by Sanoha, and Project closeout. As part of Basic Services, the Astrologer shall provide information as requested during the final auditing conducted by the Authority.

The Astrologer shall perform the services required under this Contract in conformance with applicable Central, State, and local laws, ordinances, and regulations. The Astrologer shall report to Sanoha any act or inaction in connection with the Project which the Astrologer believes creates a substantial safety risk.

The Astrologer shall comply with the terms and conditions of all project agreements executed between Sanoha and its Principle Contractor and Railtel and all administrative directives issued by the Railways now in effect or hereafter promulgated during the term of this Contract, without any additional compensation.

The Astrologer acknowledges the importance that Sanoha attributes to the abilities and qualifications of the key members of the Astrologer's team, including Sub-Astrologers, and the continuity of the key member's participation in the services to be provided under this Contract. This Contract has been entered into on the representation of the Astrologer that adequate and competent individuals, Astrologers, assignments, and responsibilities will be maintained throughout this engagement.

No act or omission of Sanoha made or permitted under this Section shall relieve the Astrologer of its responsibility for the performance of the services specified in this Contract.

The Astrologer shall employ at all times professional and support personnel with the requisite expertise and adequate numbers to assure the complete, timely, and high-quality performance of the obligations of the Astrologer.

The Astrologer shall be and shall remain liable to Sanoha for all damages incurred by Sanoha as a result of the failure of the Astrologer to perform in conformance with the terms and conditions of this Contract.

The initial term of this Agreement shall begin on the date it is signed and shall expire twenty-four (24) months after that date unless renewed or terminated under the terms of the Agreement. Sanoha has the option to renew the term of this Agreement for one (1) successive thirty-six (36) month period or any lesser period upon written notice to the Astrologer at least sixty (60) days before the expiration of the initial or any subsequent term. Sanoha has the option to extend the term of this Agreement, or any renewal period, as necessary for Astrologer to complete work on any project of Sanoha before the expiration of the Agreement.

The Astrologer acknowledges that expeditious completion of the Astrologer's services and the Project is of the utmost importance to Sanoha. The Astrologer shall complete the services required under this Contract promptly and continuously. The Astrologer shall perform its services on time and shall not delay the work of the Project. The Astrologer shall monitor the performance of the Project under the schedules of performance. The Astrologer shall immediately advise Sanoha, in writing, any time the Astrologer determines that any person whosever associated with the Project is jeopardizing the Project Schedule or the Project Budget.

Time is of the essence in the performance of the Astrologer's obligations under this Agreement and any amendment. The Astrologer agrees that no other work in its organization will be permitted to interfere with its timely performance of the work required under this Agreement or any amendment. Sanoha shall have the right to extend the term of this Contract by amendment. All the rights and obligations of the parties for such extended periods shall be as outlined in this Contract or the amendment.

Subject to the satisfactory performance of all services required according to this Contract, Revenue received will be shared between Astrologer and ‘Viaveda’ at an agreed rate separately intimated to the Astrologer. Therefore, before making the payment to the Astrologer, ‘Viaveda’ shall be entitled to deduct the amounts which have accrued to it and the remainder shall be transferred to the Astrologer, as agreed by the Astrologer at the time of registration.

Astrologer understand that ‘Viaveda’ may reduce/change the agreed Astrologer rate to promote the platform or to give discount offers to its customers or for any other reason, in its sole discretion, without informing the Astrologer. However, the changed rate will be displayed on the Platform against the respective name of the Astrologer. The astrologer understands that no payment shall be made for any free minutes, discount, coupon, voucher, or ticket offered to the customer for promotional purposes.

The payment to the Astrologer shall be via Bank Transfer into his account subject to all Tax Deductions as are required under the Law.

Any Astrologer advice that is disputed, and remains unresolved, will be withheld for a reasonable amount of time till the problem is resolved. ‘Viaveda’ will have the final say about disputes in this regards.

Astrologer agrees and declares that if the customer is not satisfied with the services provided by Astrologer inclusive of wrong predictions/consultations being made or the service could not be rendered due to internet issues or other reasons, the ‘Viaveda’ may at its discretion, refund all or partial amount to the customer, for which no payment is to be made to the Astrologer.

The arrangement between the Parties shall commence from the Commencement Date and shall be valid and binding on the Parties, unless terminated in accordance with these Terms. Either Party may terminate the Form and these Terms by issuing a thirty (30) days prior written notice of termination to the other Party.

During the entire agreement period, the appointment of the Astrologer will be subject to the compliance of the terms and conditions of the present agreement subject to the satisfaction of Sanoha. If at any point in time, the Astrologer is failed to comply with any of the terms and conditions or any further guidelines or advisory issued for the astrologer, then services of the Astrologer will be terminated without any notice /intimation to the Astrologer.

The services of the Astrologer shall be subject to the Astrologer finding and remaining physically and mentally fit and alert to perform its duties.

SANOHA reserves the right to suspend or terminate services provided through the Website and under this Agreement, with or without notice at any time, and to exercise any other remedy available under law.

If the Astrologer fails or refuses to serve Sanoha as aforesaid or services of the Astrologer are terminated by Sanoha due to misconduct or breach of the provisions of the Applicable service conditions/ Appointment Agreement or for reasons attributable to the Astrologer before the completion of the agreement period, the Astrologer shall indemnify and keep indemnified Sanoha against all losses, damages, costs and expenses that might be suffered and incurred by Sanoha by reason thereof, it is being agreed that such losses and damages, shall include but not be limited to the cost of locating a suitable person to fill the vacancy so caused.

Without limiting the generality of the foregoing, during the continuity of this agreement or for a period of twelve (12) months following the termination of this agreement for any reason, the Astrologer agrees that the Astrologer will not, directly, or indirectly, for his benefit or for the benefit of any other person, do any of the following:

Astrologer agree that, except as required to perform the Services under this Agreement, Astrologer will not contact, or cause to be contacted, directly or indirectly, or engage in any form of communication with any client/customer of ‘Viaveda’, including for the purposes of conducting business with such client/customer or encouraging or inducing them to terminate or adversely modify any business relationship with ‘Viaveda’.

Astrologer agree that during the term of this Agreement and for six (6) months thereafter, Astrologer will not perform, or agree to perform, any services for any third party that engages, or plans to engage, in any business or activity that directly or indirectly competes with any current or planned business or activity of ‘Viaveda’ or its clients or customers, about which Astrologer have been engaged by ‘Viaveda’ to perform Services, in any territory in which ‘Viaveda’ conducts business or derives revenue.

Astrologer are of sound mind and are legally competent to enter into this Agreement. Astrologer are not conflicted in any manner by taking up the obligations to perform the Services under this Agreement. The execution and delivery of this Agreement by Astrologer and the transactions contemplated hereby constitute a valid and binding obligation of Astrologer that is enforceable in accordance with its terms.

By entering into this Agreement, Astrologer certify and acknowledge that Astrologer have carefully read all of the provisions of this Agreement and the rules and regulations of ‘Viaveda’ and that Astrologer voluntarily and knowingly enter into this Agreement.

The Services shall be performed in a timely, competent, professional, and workmanlike manner in accordance with industry standards. Astrologer warrant that the astrological readings, predictions, and other services provided to clients are based on accurate and reliable astrological principles and practices Astrologer agree to comply with all ethical standards and guidelines set forth by professional astrological associations and regulatory bodies.

Astrologer warrant that Astrologer will not make any false or misleading statements about Astrologer’s qualifications, experience, or the services Astrologer provide.

Astrologer warrant that Astrologer will not engage in any practices that could cause harm or distress to clients, including but not limited to, providing inaccurate or harmful astrological advice.

The Astrologer acknowledges that Sanoha has no obligation to monitor the Astrologer’s – or anyone else's – access to or use of the Sanoha Application or ‘Viaveda’ portal for violations of these Terms, or to review or edit the Content. However, Sanoha reserves the right to do so for the purpose of operating and improving the services (including without limitation for fraud prevention, risk assessment, investigation and Astrologer Support purposes), to ensure Astrologer’s compliance with these Terms and to comply with applicable law or the order or requirement of legal process, a court, consent decree, administrative agency or other governmental body.

‘User/Visitor Data’ shall mean any and all identifiable information about user/member/visitor of ‘ViaVeda’ portal/app/social accounts etc. including, but not limited to user/member/visitor’s names, birth and personal details, their contact information and their questions, preferences, chats, messages, etc. All this data is subject to the privacy policy of Sanoha.

‘User/Visitor Data’ shall mean any and all identifiable information about user/member/visitor of ‘ViaVeda’ portal/app/social accounts etc. including, but not limited to user/member/visitor’s names, birth and personal details, their contact information and their questions, preferences, chats, messages, etc. All this data is subject to the privacy policy of Sanoha.

Unauthorized access or attempt at unauthorized access to User/Visitor Data is strictly prohibited and any attempts to do so will result in immediate termination of agreement and legal action as shall be deemed fit by Sanoha.

The Astrologer represents, warrants, and covenants that it will not resell, broker or otherwise disclose any User/Visitor Data to any third party, in whole or in part, for any purpose whatsoever. The Astrologer agrees that it will not copy or otherwise reproduce any User/Visitor Data other than for the purpose of fulfilling its obligations under this Agreement for providing the consultancy services to user/member/visitor of ‘ViaVeda’ portal/app/social accounts etc.

The Astrologer (and any other persons to whom the Astrologer provides any User/Visitor Data) will implement and comply with reasonable security measures in protecting, handling, and securing the User/Visitor Data. If any User/Visitor Data is collected by the Astrologer (or otherwise on its behalf), the Astrologer shall ensure that it (and any applicable third parties) adopt, post, and process the User/Visitor Data in conformity with an appropriate and customary privacy policy.

Astrologer shall ensure duty of care towards all users/visitors/clients / customers/members of ‘ViaVeda’, ensuring that all interactions and consultations are conducted with the highest level of professionalism and confidentiality.

“Confidential Information” means this Agreement and any information that relates to the actual or anticipated business and/or products, research or development of Company or its affiliates’, or to Company’s or its affiliates’ technical data, trade secrets, or know-how, including, but not limited to, research, product plans, or other information regarding Company’s or its affiliates’ products or services and markets thereof, client/customer lists and clients/customers (including, but not limited to, clients/customers of Company on whom Consultant called or with whom Consultant became acquainted during the term of this Agreement), software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances, and other business information disclosed by Company or its affiliates, either directly or indirectly, in writing, orally or by drawings or inspection of premises, parts, equipment, or other property of Company or its affiliates.

The terms of the present Agreement between the Astrologer and Sanoha are also confidential and the Astrologer will be restrained from disclosing the terms and conditions of the present agreement to any third party or to any user / visitor / client / customer.

Non-compliance of confidentiality by the Astrologer gives a right to Sanoha to discontinue with the services of Astrologer and Astrologer may be removed from the ‘ViaVeda’ portal.

Astrologer agree that he/she will not at any time disclose or divulge to anyone, in any form (documentary or otherwise), any information or particulars or details of any trade or business or any other matters connected therewith, or any trade secrets or processes which may come to his/her knowledge while working for ‘ViaVeda’.

Astrologer will always keep secret all information in respect of ‘ViaVeda’. Upon the termination of this Agreement, or upon the Sanoha’s earlier request, the Astrologer will deliver to the Sanoha all materials, customer data and confidential Information that are in the Astrologer’s possession or control. Astrologer agree to maintain the confidentiality of all user / visitor / customer / client information and not disclose any personal or sensitive information without their explicit consent.

All consultancy / conversation / advisory that Astrologer have had with user / customer / visitor will be retained in Sanoha database as per the applicable laws and subject to confidentiality as laid out in the Standard Policies.

The Astrologer must always maintain the highest degree of confidentiality and keep as confidential the records, documents and other Confidential Information relating to the business of Sanoha, which may be known to Sanoha or confided to the Astrologer by any means and the same shall be use such records, documents, and information only in a duly authorized manner in the interest of Sanoha.

For the purpose of this clause Confidential Information means information about Sanoha’s business and that of its customers which is not available to the general public, and which may be learnt by the Astrologer in the course of the term. This includes but is not limited to information relating to organization, Sanoha’s clients’ details, technical details, policies, personnel, ideas, scientific concepts, and all documents, records and other documents containing such Confidential Information.

Astrologer recognize that ‘Viaveda’ has received and, in the future, may receive from third parties their confidential or proprietary information subject to a duty on ‘Viaveda’s part to maintain the confidentiality of such information and to use it only for certain limited purposes. Astrologer will hold all such confidential or proprietary information in the strictest confidence and not use or disclose it to any third party except as necessary in performing the services for ‘Viaveda’ per this Agreement.

The Astrologer acknowledge and agree that Astrologer shall be solely responsible for all conduct, services, advice, postings, and transmissions made from their account. The Astrologer consent that any information or content posted or transmitted by Astrologer will not be considered confidential information and will be owned by Sanoha.

Astrologer agrees and consents to all conversations, chats, or transcripts being captured, controlled, processed, and shared by Sanoha as per the Privacy Policy and as permissible by law.

Astrologer will not share to the astrologer management platform with anyone else.

Astrologer’s Information: In the event any information furnished/provided by the Astrologer will is found false, misleading illegal or wrong, ‘Viaveda’ shall impose a penalty of Rs. ___________ shall be imposed and ‘Viaveda’ can, at its sole discretion, deactivate the Astrologer’s profile immediately without informing Astrologer.

Behavior with User / Consumer / Member / client: Astrologer is being advised to treat the users / visitors / customers / clients of ‘Viaveda’ with respect. Astrologer must maintain proper decorum and answer all of the customer's queries in a calm manner. Any violation of the present clause by use of filthy language, threats, or similar behavior will result in the cancellation of Astrologer’s ‘Viaveda’ profile for a minimum of ___ (__) days and a penalty of Rs. ______ to reactivate Astrologer’s profile. Astrologer also agree that it is the discretion of the ‘Viaveda’ compliance team to decide what is disrespectful to the customer after giving Astrologer equal opportunity of being heard. Any complaint received in this situation will result in Astrologer’s profile being deactivated without warning.

Personal Information of User / Consumer / Member / Client: Astrologer undertake not to upload the User / Consumer / Member / Client’s personal information or display the reason or purpose for seeking counsel from Astrologer anywhere on the internet or any other platform. A User / Consumer / Member / Client should also not share any such personal information and if the customer does it so, it is Astrologer’s responsibly to report such matter to the company immediately and not to contact customer. A penalty of Rs. __________/- INR will be imposed if this condition is violated and the account of Astrologer will be temporarily deactivated for ____ days. The parties have also agreed that the period of deactivation might be prolonged till the penalty is paid.

Astrologer’s Personal Information: Astrologer must not share any personal information about Astrologer’s self, Astrologer’s friends, acquaintances, family members, or anybody else with whom Astrologer may or may not be associated. Contact numbers, bank account numbers, e-mail addresses, websites, personalized pages, blogs, and social media profiles [including but not limited to Facebook, WeChat, Whatsapp, Telegram, Messenger, SMS, and others] with any consumer seeking help are all examples of personal information. Astrologer also do not induce customers for offline meetings. A penalty of Rs. __________/- INR will be imposed if this condition is violated and the account of Astrologer will be temporarily deactivated for ____ days. The parties have also agreed that the period of deactivation might be prolonged till the penalty is paid.

Acts bringing disrepute to ‘Viaveda’: Astrologer agree not to do anything that could harm ‘Viaveda’s reputation or interests, such as posting negative reviews on any social media platform, disclosing the company's policies to anyone, or making any defamatory comments of any kind or nature about the Company, its employees, officers, directors, agents, consultants, affiliates, and so on. Astrologer should also not indulge in any such act, like giving negative comments/reviews, which negatively impact other astrologers working in this platform. Astrologer also agree that Astrologer will not encourage, motivate, or convince any of Astrologer’s friends, family members, clients, acquaintances, or anyone else to do the same. A penalty of Rs. __________/- INR will be imposed if this condition is violated and the account of Astrologer will be temporarily deactivated for ____ days. The parties have also agreed that the period of deactivation might be prolonged till the penalty is paid.

Advisory against the duties towards Users / Customers / Clients / visitors of ‘Viaveda’: It is suggested that Astrologer offer the customer seeking help easier solutions. Any advice directly related to any loss or danger of life, whether animal or human, and similarly any advice which is contrary to the duties of the Astrologer towards the User / Consumer / Member / Client or Sanoha or ‘Viaveda’ would be considered a gross violation of the terms and conditions. A penalty of Rs. __________/- INR will be imposed if this condition is violated and the account of Astrologer will be temporarily deactivated for ____ days. The parties have also agreed that the period of deactivation might be prolonged till the penalty is paid.

Listing on ‘Viaveda’: By registering with ‘Viaveda’ Astrologer promise not to work or deliver Astrologer’s services on any competing platform that provides identical services via the internet. Astrologer may not use a fictitious or alias name while attempting to provide services (similar to those provided at ‘Viaveda’) on any competitor platform via the internet. Violation of this clause will attract the deactivation of Astrologer’s profile without any warning issued. A fine of Rs. _______ may be imposed by the compliance team at ‘Viaveda’ and all Astrologer’s earning will be forfeited.

Promotional/Free Calls: The astrologer agree that he will serve the promotional calls in a cordial manner with the same passion and eagerness that he would exhibit in any other paid call and treat all customers with respect. Knowingly he will not cut/avoid any promotional/free call. A fine of Rs------- may be imposed by the compliance team at ‘Viaveda’ on violation of this clause.

Minimum Availability: Astrologer understands that by giving more time to the platform, it increases the chances for more call/chat count and leads to more income. The platform encourages the Astrologer to give a minimum ------ in a day and……. hours in a month. A fine of Rs. 11,000 may be imposed by the compliance team at ‘Viaveda’ on violation of this clause.

The compliance team shall review each of the violations mentioned in this, on being found guilty, the penalties mentioned therein shall be charged. To recover the penalty earning may be forfeited. ‘Viaveda’ may at its sole discretion disable the profile of astrologer permanently or temporarily without giving any notice. Viaveda’ may also update/modify or remove the features from astrologer profile at its sole discretion without giving any reason thereof. In the event of any conflict or inconsistency with other provisions of this agreement, this clause shall take precedence.

The Astrologer agrees to indemnify, defend, and hold harmless Sanoha, ‘Viaveda’ and its directors, officers, and employees from and against all losses, damages, liabilities, costs, and expenses, including attorneys’ fees and other legal expenses, arising directly or indirectly from or in connection with:

The Astrologer acknowledges, admits and confirms that all Intellectual Property/Data on ‘ViaVeda’ Portal/Platform / Website/App/Social Accounts etc. are owned by Sanoha and/or ‘ViaVeda’ only and in the event of Astrologer adding/uploading any all Intellectual Property/Data same shall be deemed to be the property of Sanoha and/or ‘ViaVeda’ and Astrologer hereby waives any right, title or interest in the favor of Sanoha.

Unless otherwise agreed expressly in writing by an officer of Sanoha, Sanoha shall not be required to compensate Astrologer in any manner for the ideas, regardless of whether Sanoha utilizes or does not utilize the ideas, in whole or in part.

No data or content shall be uploaded or added by the Astrologer on the ‘ViaVeda’ platform/portal which may be considered intellectual property violation and shall also not indulge in any act which shall result in any intellectual property violation, spread of viruses, worms, malicious software, or any other illegal or immoral act.

Astrologer hereby represents and warrants that he/she is fully entitled under law to upload all content uploaded by Astrologer as part of his/her profile or otherwise while using Sanoha’s services, and that no such content breaches any third party rights, including intellectual property rights. Upon becoming aware of a breach of the foregoing representation, Sanoha may modify or delete parts of the Astrologer’s profile information at its sole discretion with or without notice to Astrologer.

Sanoha reserves the right to remove any Content which it may determine at its own discretion as violating the intellectual property rights of any other person, including but not limited to patent, trademark, copyright or other proprietary rights. Astrologer agrees to absolve Sanoha from and indemnify Sanoha against all claims that may arise as a result of any third party intellectual property right claim that may arise from the Astrologer’s uploading of any Content on the ‘ViaVeda’.

The Astrologer may not use the images or any intellectual data uploaded/added in the ‘ViaVeda’ Portal for any purpose other than those directly related to the creation and uploading of content to ‘ViaVeda’ portal.

Astrologers agree to take reasonable precautions in all interactions with other members of the service, particularly if the user decides to meet offline or in person. Astrologers should not provide their confidential information (for example, credit card or bank account information) to other members.

Astrologer acknowledges and agrees that Sanoha or ‘ViaVeda’ Portal disclaims any liability concerning any claim, suit, or action brought by a member in connection with the provision of any services by the astrologer (including, without limitation, representations by the astrologer as to the astrologer's qualifications and advice provided by the astrologer) through Sanoha or ‘ViaVeda’ Portal and Astrologer agrees to indemnify and hold Sanoha or ‘ViaVeda’ Portal harmless in connection with any such claim and any damages or expenses arising therefrom.

Astrologer undertake to defend, indemnify and hold harmless the Website and its affiliates, directors, employees and other officers against any claims, liabilities, actions, proceedings, demands, expenses etc. made by a third party, including statutory authorities, which Sanoha or ViaVeda portal may incur or suffer in connection with any proceeding arising out of: i. The use of the platform by Astrologer; or/and ii. Any unauthorized use and violation of the profile created and managed by the Astrologer on the ViaVeda portal; or/and iii. Any Prediction/advice given by Astrologer; or/and iv. Any acts or omissions, negligence, misrepresentation, fraud and/or misconduct by Astrologer.

If any legal proceedings are instituted against Sanoha in connection with any of the foregoing, Astrologer shall at its own cost and expense, assist Sanoha with the defense thereof, as it shall request Sanoha right to indemnification pursuant to this clause shall survive any termination of this Agreement.

The parties hereto acknowledge and agree that this agreement does not create any employee-employer relationship or any partnership relationship between the Astrologer and Sanoha. It is being agreed that the relationship of the parties shall be of independent contractor. Neither party shall have the right to bind the other. All expenses, liabilities, financial or otherwise, incurred by the Astrologer in the course of his association with Sanoha or ‘ViaVeda’ are the sole liability and responsibility of the Astrologer only.

For the purposes of this clause, "Liability" means liability in or for breach of contract, negligence, misrepresentation, tortious claim, restitution or any other cause of action whatsoever relating to or arising under or in connection with this Agreement by reason of the invalidity or unenforceability of any these Terms.

In no event Sanoha or ‘ViaVeda’ Portal or any of its directors, officers, employees, agents or service providers, affiliates and group companies shall be liable for any loss of actual or anticipated profits, loss of goodwill, loss of business, loss of revenue or of the use of money, loss of contracts, loss of anticipated savings, loss of data and/or undertaking the restoration of data, any special, indirect or consequential loss, and such liability is excluded whether it is foreseeable, known, foreseen or otherwise relating to the services of Astrologer or anyone else in connection with the use of the ‘ViaVeda’ Portal, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other registered Astrologer of this service or persons met through this service.

For the avoidance of any doubt, this clause shall apply whether such damage or loss is direct, indirect, consequential or otherwise. Although Sanoha will use its best endeavours to ensure that the unintentional operational errors do not occur, Sanoha cannot provide any warranty or guarantee in this regard.

Notwithstanding anything to the contrary herein set out, Sanoha’s aggregate liability under this Agreement for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by Astrologer to Sanoha & ‘ViaVeda’ Portal for the usage during the term of Agreement in force.

In no event shall the Sanoha or ‘ViaVeda’ Portal or any of its directors, officers, employees, agents or service providers, affiliates and group companies be liable for any content posted, transmitted, exchanged or received by or on behalf of any User or other person on or through the Website; or for any unauthorized access to or alteration of Astrologer transmissions or data.

Any alteration in or amendment to this Agreement must be approved in writing by Sanoha prior to such alteration or amendment becoming effective.

If any provision of this Agreement is held to be invalid, prohibited, or unenforceable for any reason, such provision shall be ineffective without invalidating the remaining provisions of this Agreement.

Notwithstanding the foregoing, if such provision could be more narrowly drawn so as not to be invalid, prohibited, or unenforceable, it shall be so narrowly drawn without invalidating the remaining provisions of the Agreement.

Anything contained in this Agreement to the contrary notwithstanding, all claims against and liabilities of the Astrologer arising from events arising prior to the expiration or earlier termination of this Agreement shall survive such expiration or earlier termination.

Any delay, inability, omission, or failure of either Party to exercise any of its rights under this Agreement shall not affect or impair or be deemed to be a waiver of its rights under this Agreement and neither shall it be deemed to affect or impair such Party's rights with respect to any continuing or subsequent default of the other of the same or different nature under this Agreement.

The remedies herein provided are cumulative and not exclusive of any remedies provided by applicable law. Neither Sanoha nor Astrologer shall be in default on any obligation hereunder if such default results from governmental acts or directives (official and unofficial), strikes (legal or illegal), Acts of God, war (declared or undeclared), insurrection, riot or civil commotion, fires, flooding or water damages, explosions, embargoes, which are not within the reasonable control of the party affected.

These Terms shall not be assigned by the Astrologer without the prior written consent of Sanoha. Any purported transfer, assignment, or delegation without such prior written consent shall be null and void. Sanoha may assign or transfer these Terms for any reason to any person. Subject to the foregoing, these Terms shall bind and inure to the benefit of each party’s successors and permitted assigns.

Neither party will be liable to the other party for any failure or delay in performance caused by reasons beyond its reasonable control, including but not limited to acts of God, epidemics, earthquakes, strikes, lockdowns, civil disturbances, or similar causes.

Sanoha reserves the right to modify these Terms after prior notice and without liability to the Astrologer. Any such changes will be effective immediately upon the changes being reflected on these Terms. In the event, Sanoha modifies the Services or these Terms and the Astrologer does not wish to avail the Services, the Astrologer reserves the right to withdraw from ‘ViaVeda’ in accordance with the provisions of these Terms.

The validity, construction, and performance of this Agreement shall be governed and interpreted in accordance with the laws of Delhi without any application of any principles of conflict or choice of law that might direct the application of the law of any other jurisdiction.

Any dispute, claim or controversy arising out of or relating to this Agreement, including the determination of the scope or applicability of this Agreement to arbitrate, or Astrologer’s use of the Website or the Services or information to which it gives access, shall be determined by arbitration in India, before a sole arbitrator to be appointed by Mutual Consent of the Parties.

Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat of such arbitration shall be at New Delhi. All proceedings of such arbitration, including, without limitation, any awards, shall be in the English language. The award shall be final and binding on the parties to the dispute. The award rendered may be entered and enforced in any court having jurisdiction.

Subject to the above, the courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of or in relation to this Agreement.

This arbitration clause shall be severable and may be enforced independently. The prevailing party shall be entitled to receive all costs and expenses of the arbitration including the attorney's fees.

Listing of Astrologer and display of Astrologer’s profiles is subject to Astrologer’s strict compliance of the Terms & Conditions of the present agreement and also various guidelines and advisories issued by Sanoha time to time for the Astrologers. Sanoha, at its discretion, reserves all its rights, with or without notice, to remove the profile of the Astrologer or not to display the profile of the Astrologer from its web portal or the app or on any of the social account of ‘ViaVeda’ portal.

At the time of registration/listing of the Astrologer on the ‘Viaveda’ portal, the Astrologer shall be provided with unique ID/Username and password.

Astrologer are entirely responsible for maintaining the confidentiality of Astrologer’s password and username and any other security information related to Astrologer’s account.

Astrologer will be fully responsible for all activities that occur under Astrologer’s account, username, or password. Astrologer may not use the account, username, or password of someone else at any time. Astrologer will immediately be notified of any unauthorized use of Astrologer’s password, username, e-mail, or any other breach of security.

‘Viaveda’ will not be liable for any loss that Astrologer incur as a result of someone else using Astrologer’s account or Astrologer’s password, either with or without Astrologer’s knowledge. Astrologer may be held liable for any losses incurred by ‘Viaveda’ due to someone else's use of Astrologer’s account or password.

Astrologer also permits and give license to Sanoha for collection of all of its personal data and information which includes but not limited to the contacts information, education and professional information. The Astrologer accepts, admits and acknowledges that the information submitted by the Astrologer is to be displayed for and to be consumed by the users and visitors of ‘ViaVeda’ portal and therefore the Astrologer confirms that the information submitted to ‘ViaVeda’ are true and correct and it is on that basis the end users/visitors of ‘ViaVeda’ are going to decide on the Astrologer. Therefore, the Astrologer fully understand that in the event any of such information is found to be correct or any information required to be disclosed is withheld/concealed there might be serious consequences of the users/visitors and also for ‘ViaVeda’ and therefore Astrologer shall ensure that information provided to ‘ViaVeda’ are true and correct and nothing important and material shall be withheld by the Astrologer. The Astrologer shall always keep the ‘ViaVeda’ indemnified on this account.

Astrologer fully understands that ‘ViaVeda’ is platform and in order to users/visitors have better choices, there can be feedback / review / ratings / rankings of Astrologers by users/visitors and based on that ‘ViaVeda’ can give rankings and Sanoha shall not be liable and responsible to Astrologer for any such feedback / review / ratings / rankings of Astrologer on ‘ViaVeda’ or on any external websites or search engines.

Sanoha reserves all its rights to remove any such abusive or inappropriate or promotional content added on the ‘ViaVeda’ portal be it website, app or on any social account. Sanoha shall not be responsible or liable in any manner to the Astrologer for any losses, damage, injuries or expenses incurred by the Astrologer as a result of any feedback / review / ratings / rankings of Astrologer and also as a result of disclosures or publications made by Sanoha, where the Astrologer has expressly or implicitly consented to the making of disclosures or publications by Sanoha. If the Astrologer had revoked such consent under the terms of the Privacy Policy, then Sanoha shall not be responsible or liable in any manner to the Astrologer for any losses, damage, injuries or expenses incurred by the User as a result of any disclosures made by Sanoha prior to its actual receipt of such revocation. However, Sanoha shall not be liable if any inactive, inaccurate, fraudulent, or non-existent profiles of Astrologers are added to the Website. Astrologers explicitly agree that Sanoha reserves the right to publish the Content provided by Astrologers to a third party including content platforms.

On listing of the Astrologer profile on ‘ViaVeda’ portal, the user/visitor may choose to call/contact/consult the Astrologer through calling system provided by Sanoha. All such calls/conversations / contacts/consultations shall be recorded and saved by Sanoha for which Astrologer gives its consent. The recordings of each such calls/conversations / contacts/consultations shall be the property of Sanoha and Astrologer gives its consent to Sanoha for sharing the recording of each such calls/conversations / contacts/consultations with the Third Party or with the Users/Visitors of ‘ViaVeda’ Portal. The Astrologer also gives its consent to Sanoha for publication of each such call at ‘ViaVeda’ portal or with any other social portal or app. Such records may be accessed by Sanoha for quality control and support related purposes and are dealt with only in accordance with the terms of the Privacy Policy.

The Call facility provided by Sanoha only to be used by the Astrologer for the purpose of calls/conversations / contacts/consultations between visitors/users of ‘ViaVeda’ portal. Astrologer shall not, under any circumstances, contact the users/visitors by any other mode. Astrologer shall not engage with any user/visitor directly or indirectly except for the calling services provided by ‘ViaVeda’. Astrologer shall not provide his contact details such as contact No., address and/or email Id. Sanoha accepts no liability if the call facility is not used in accordance with the foregoing. In case Astrologer choose to not provide Astrologer’s consent to recording Astrologer’s calls, Sanoha reserves the right to not list the said Astrologer and also not to made available the services of the Astrologer to its users/visitors.

The Astrologer hereby represent and warrant that Astrologer will use the Services in accordance with applicable law. Any contravention of applicable law as a result of Astrologer’s use of these Services is Astrologer’s sole responsibility, and Sanoha accepts no liability for the same.

Astrologer shall be entitled to edit their profile, update their information and photographs by requesting ‘ViaVeda’ and Sanoha reserves the right of ownership of all the Astrologer’s profile and photographs and to moderate the changes or updates requested by Astrologers. However, Sanoha takes the independent decision whether to publish or reject the requests submitted for the respective changes or updates.

All Critical Content is content created by the Astrologers and Users/Visitors of ‘ViaVeda’. As a platform, Sanoha/‘ViaVeda’ does not take responsibility for Critical Content and its role with respect to Critical Content is restricted to that of an ‘intermediary’ under the Information Technology Act, 2000. Sanoha reserves the right to collect feedback and Critical Content for all the Astrologers, Users, Visitors and ultimate end users of services of ‘ViaVeda’ portal. Sanoha shall have no obligation to pre-screen, review, flag, filter, modify, refuse or remove any or all Critical Content from any Service, except as required by applicable law.

Astrologer understand that by using the Services Astrologer may be exposed to Critical Content or other content that Astrologer may find offensive or objectionable. Sanoha shall not be liable for any effect on Astrologer’s business due to Critical Content of a negative nature. In these respects, Astrologer may use the Service at Astrologer’s own risk. Sanoha however, as an ‘intermediary, takes steps as required to comply with applicable law as regards the publication of Critical Content.

Sanoha will take down information under standards consistent with applicable law, and shall in no circumstances be liable or responsible for Critical Content, which has been created by the Users. The principles set out in relation to third party content in the terms of Service for the Website shall be applicable mutatis mutandis in relation to Critical Content posted on the Website.

If Sanoha determines that Astrologer or any user/visitor have provided inaccurate information or enabled fraudulent feedback, Sanoha reserves the right to immediately suspend any of Astrologer’s accounts with Sanoha and makes such declaration on the website alongside Astrologer’s name as determined by Sanoha for the protection of its business and in the interests of Users.

Sanoha has designed the relevance algorithm in the best interest of the End-User and may adjust the relevance algorithm from time to time to improve the quality of the results given to the patients. It is a pure merit driven, proprietary algorithm which cannot be altered for specific Astrologers. Sanoha shall not be liable for any effect on the Astrologer’s business interests due to the change in the Relevance Algorithm. Astrologer’s use of each Service confers upon Astrologer only the rights and obligations relating to such Service, and not to any other service that may be provided by Sanoha.

Sanoha reserves the rights to display sponsored ads on the Website. These ads would be marked as “Sponsored ads”. Without prejudice to the status of other content, Sanoha will not be liable for the accuracy of information or the claims made in the Sponsored ads. Sanoha does not encourage the Users to visit the Sponsored ads page or to avail any services from them. Sanoha will not be liable for the services of the providers of the Sponsored ads.

As mandated by Regulation 3(2) of the IG Rules (Information Technology (Intermediaries Guidelines) Rules, 2011), Sanoha hereby informs Astrologer that they are not permitted to host, display, upload, modify, publish, transmit, update or share any information that:

Sanoha, upon obtaining knowledge by itself or been brought to actual knowledge by an affected person in writing or through email signed with electronic signature about any such information as mentioned above, shall be entitled to disable such information that is in contravention of above Clauses. Sanoha shall also be entitled to preserve such information and associated records for at least 90 (ninety) days for production to governmental authorities for investigation purposes.

In case of non-compliance with any applicable laws, rules or regulations, or the Agreement (including the Privacy Policy) by an Astrologer, Sanoha has the right to immediately terminate the access or usage rights of the Astrologer to the Website and Services and to remove non-compliant information from the Website.

Sanoha may disclose or transfer User-generated information to its affiliates or governmental authorities in such manner as permitted or required by applicable law, and Astrologer hereby consent to such transfer. Sanoha respects the intellectual property rights of others and we do not hold any responsibility for any violations of any intellectual property rights

Astrologer will provide and maintain true and accurate information regarding Astrologer’s astrology qualifications, expertise, skills, degrees, and background during the term of this Agreement.

Astrologer will not present misleading names or qualifications. Sanoha reserves the right to investigate Astrologer’s qualifications either directly or through a third-party agency.

Astrologers understand that this is an astrology platform and only astrology services are provided through this platform. Astrologer is responsible for all predictions/advice made by the Astrologer. Astrologers understand and agree that they will not make any prediction that is unlawful/illegal or against any law.

Astrologers shall refrain from advising below below-mentioned list of predictions/advice, which is not exhaustive.

The Astrologer, before proceedings with his advice and consultation, will make every user/member/visitor understand and agrees that the advice provided by the Astrologer is an advisory based on probability and is to be implemented with caution and care and not as a substitute of professional advice as circumstances would demand.

Astrologer will advise users that Astrologer’s advice cannot be a substitute for a qualified expert/professional such as Doctor, Lawyer, Etc. and that Astrologer’s advice is for informational purposes only and it cannot be a substitute for it.

Under no circumstances the advice / consolations of Astrologer shall be considered as substitute for medical or legal or any other professional advice. In case of emergency or critical medical condition the advice/consultation of Astrologer is only advisory which is not in substitution of any medical consultation and also in similar manner involving any other legal matter or governmental action the advice/consultation of Astrologer is not a substitute for legal or any other professional advice. Astrologer will not enter into any area where only a qualified expert advice is required such as Legal, Medical & Other Professional Experts.

If any user of the website has specific concerns or a situation arises in which he requires professional or medical advice, Astrologer may advice user should consult with an appropriately trained and qualified specialist.

The Astrologer hereby agrees to SANOHA's Astrological team carrying out an audit of his/her consultations with the Astrologer for the purpose of improving advisory quality, user experience, and other related processes. The Astrologer acknowledges that the subject matter of audit may include texts, messages, photographs, reports, audio or video recordings or any other material exchanged between the User and the Astrologer which could inter alia include User's personal information, including sensitive personal information. This personal information will be processed in accordance with Privacy Policy.

The Astrologer shall indemnify and hold harmless SANOHA and its web portal ‘Viaveda’ and its affiliates, subsidiaries, directors, officers, employees and agents from and against any and all claims, proceedings, penalties, damages, loss, liability, actions, costs and expenses (including but not limited to court fees and attorney fees) arising due to or in relation to the use of Portal, by breach of the Terms or violation of any law, rules or regulations by the Astrologer, or due to such other actions, omissions or commissions of the Astrologer that gave rise to the claim.

Astrologer will not attempt to contact and shall not ask for any direct payments / charges / expenses / fee from the users / members / visitors under any circumstances. Online consultation facility provided by ‘Viaveda’ is on pre-paid basis.

Astrologer will not transmit/communicate through the Site/portal any unlawful, bullying, and defamatory, privacy violative, insulting, intimidating, derogatory, vulgar, indecent, racist, destructive, or otherwise offensive/objectionable material of any kind.

Astrologer will not exchange any personal contact information with any User for any purpose, which may include making offline payments or in-personal meetings.

Astrologer will not stalk, intimidate, or harass any visitor, user or member or infringe upon or attempt to violate their privacy. Astrologer will not violate any applicable local, national, or international law of any kind.

Astrologer will not attempt to take the act for providing offline/online advice with any user provided by this portal other than use of this portal. Astrologer will not attempt to fraudulently increase talk/chat time with User which would result in a greater payment to Astrologer.

Astrologer will agree to all performance ratings and reviews given by the User after availing services from Astrologer. And agree to display such ratings/reviews on the ‘Viaveda’ Platform to the public.

Astrologer also understand that ‘Viaveda’ has nothing to do with such ratings/reviews. If an Astrologer finds any review harsh, offensive, or objectionable it may bring it to ‘Viaveda’ knowledge for moderation. Astrologer will not advise on matters/games related to gambling. Astrologer will use the materials provided by VIA VEDA solely for performing the agreed-upon services and not for any other purposes.
